These terms and conditions pertain to health-related challenges; please read the general terms and conditions for Wellstep365<\/a>.<\/span><\/p>\n

1. Application<\/strong><\/span><\/p>\n

These general terms and conditions apply to all services provided at any time by Wellstep AB, org.no 559322-5187 (“Wellstep”). These general terms and conditions supplement the provisions set out in the order confirmation.<\/span><\/p>\n

In the event of any discrepancy between the provisions of the order confirmation and those of the General Terms and Conditions, the order confirmation shall prevail.<\/span><\/p>\n

2. Services<\/strong><\/span><\/p>\n

Wellstep offers wellness challenges for companies that want to motivate their employees to be more active and improve their health. The order confirmation specifies which challenge or challenges were ordered. The current selection and content are available on the Wellstep website. <\/span><\/p>\n

The step challenge is a traditional approach to a fitness activity. Wellstep’s walking competition is simple and flexible, where participants record the number of steps they take throughout the day using their pedometer (in their pocket or via an app). Moreover, other types of activities such as cycling, weight training and floorball can be converted into steps to be credited to the walking competition. <\/span><\/p>\n

The Activity Challenge is a competition in which all participants are motivated to do physical activity for at least 30 minutes each day. The activity type is less important, what matters is that you do some physical activity. Each activity scores 1 point per minute and many companies decide to award prizes to participants who meet the 30-minute target, whether for the whole competition and\/or for each week. <\/span><\/p>\n

In addition to these, Wellstep also offers other challenges, such as diet challenges and combined health challenges, the content and structure of which are outlined in the respective descriptions on the website or in the order confirmation.<\/span><\/p>\n

The services are provided through the website www.wellstep.se and the Wellstep app.<\/span><\/p>\n

3. Ordering and confirmation<\/strong><\/span><\/p>\n

The services and pedometers can be ordered directly from the Wellstep website by filling in a form (https:\/\/www.wellstep.se\/en\/order\/) or by email or telephone. Once Wellstep receives an order, an order confirmation will be sent to the Customer. The Customer chooses the time for his\/her competition and the competition may continue for a maximum of one year. <\/span><\/p>\n

4. Access to services<\/strong><\/span><\/p>\n

In order for participants to access the service, Wellstep needs the names, email addresses, and team assignments (for team competitions) of all participants. We can obtain this information in a variety of ways, but the most common is for the client\u2019s contact person to email us, for example, an Excel list containing the information. We then add all participants (at no extra cost) and send out emails to all participants with login details and instructions a few days before the competition starts. It is the customer’s responsibility to ensure that the information provided to Wellstep is accurate and up to date. <\/span><\/p>\n

Alternatively, Wellstep can create a registration form so that participants can register themselves and enter their details. The registration page can be accessed through e.g. www.wellstep.se\/f\u00f6retagsnamn. Registration can either be set up so that each participant registers, but more commonly one person in the team registers everyone in their team.<\/span><\/p>\n

5. Pedometer<\/strong><\/span><\/p>\n

Wellstep also offers pedometers for purchase. The pedometer can be ordered via our Customer Service or directly in the order form on our website. Pedometers purchased by the Customer from Wellstep are covered by a two (2) year warranty. The warranty does not apply to defects caused by misuse or external impact. <\/span><\/p>\n

The pedometer will be delivered in good time before the start of the competition, usually within 10 days of the order date, but for larger orders, the delivery time may be slightly longer. A shipping charge will be applied per shipment, the customer chooses how many and to which addresses the pedometers will be sent. <\/span><\/p>\n

6. Conducting the competition<\/strong><\/span><\/p>\n

During the competition, participants can choose to either log their steps\/activities manually from any pedometer\/app and calculate them via the wellstep.se website or by using the Wellstep app to log them. <\/span><\/p>\n

Our activity challenge does not require any tools, as time and activity are recorded on Wellstep.se or in the Wellstep app. 1 minute scores 1 point and the goal is at least 30 minutes of activity\/day. <\/span><\/p>\n

In the step challenge, participants can also choose to connect the app to a health service on their device\u2014such as Apple Health or Health Connect\u2014so that step data is automatically synced. Participants activate this connection themselves and can turn it off at any time in their device\u2019s settings. <\/span><\/p>\n

7. Monitoring<\/strong><\/span><\/p>\n

Wellstep’s system allows participants to easily track their progress. Each participant has a personal page displaying their company\/organisation’s competition. There, participants can see how many steps\/activities or how many points have been earned in the activity challenge as well as individual and team scores. The walking competition also includes a map of the distance they have covered during the competition, the milestones passed and their next milestone. <\/span><\/p>\n

8. Price and terms of payment<\/strong><\/span><\/p>\n

The price for the relevant order is specified in the order confirmation. Prices are exclusive of VAT unless otherwise stated in the order confirmation. <\/span><\/p>\n

Once the competition has started, Wellstep will send an invoice for the entry fee and the participation fee based on the number of participants. Terms of payment are 30 days from the date of invoice unless otherwise agreed. <\/span><\/p>\n

Payment must be received by Wellstep no later than the due date stated on the applicable invoice. Should payment of compensation be delayed, Wellstep reserves the right to charge a penalty interest following \u00a7 6 of the Swedish Interest Act and to demand compensation for reminders and collection charges. If payment is not received within the specified time, Wellstep also has the right to cancel the ongoing competition until payment has been received. <\/span><\/p>\n

9. Cancellation and rebooking terms<\/strong><\/span><\/p>\n

The Client has the right to cancel a competition free of charge before it has been added to the Wellstep system. If the competition has already been registered, the start date and the payment may be postponed. If the Client chooses to cancel the competition completely at this stage, the entry fee will be invoiced. <\/span><\/p>\n

In case of postponed or cancelled competitions where pedometers have already been delivered to the Customer, these will be invoiced. <\/span><\/p>\n

10. Support<\/strong><\/span><\/p>\n

Contestants who have questions during the contest period may contact Wellstep support via email at: support@wellstep.se. Support queries will normally be answered within 24 hours during office hours. <\/span><\/p>\n

11. Failure and interruption of services<\/strong><\/span><\/p>\n

Failure and interruption of the Service are defined as the Customer not being able to use the Service under the Agreement. Failure does not include failures or defects that do not prevent the Customer from using the Service or are mere of minor importance to the Customer. Wellstep will make every effort to monitor the delivery of our Services and prevent any problems. However, any errors or shortcomings must always be reported to our customer service. Wellstep shall resolve any failure within a reasonable time after notification of the failure. <\/span><\/p>\n

12. Limitation of Liability <\/strong><\/span><\/p>\n

Wellstep is not liable for indirect damages, consequential damages, lost profits, or loss of data.<\/span><\/p>\n

Wellsteps\u2019 total liability for damages under the Agreement is limited to an amount equal to what the Customer paid for the order in question. This limitation does not apply in cases of willful misconduct or gross negligence. <\/span><\/p>\n

Claims must be submitted in writing without undue delay and no later than three (3) months from the date the Customer discovered or should have discovered the basis for the claim.<\/span><\/p>\n

13. Report Equipment Defects<\/strong><\/span><\/p>\n

If a pedometer provided by Wellstep is defective upon delivery\u2014a so-called \u201cunboxing defect\u201d\u2014and the damage is not due to shipping damage, this must be reported to our customer service within two (2) days of receiving the item. The item must be returned to Wellstep, and after it has been inspected and approved, a replacement product will be sent to the customer. <\/span><\/p>\n

If the Customer discovers other defects or flaws in the goods, other than defects discovered upon unpacking, these must be reported within a reasonable time after the defect was discovered or should have been discovered, but no later than two (2) years from the date the goods were received. After that, the Customer loses the right to claim the defect. <\/span><\/p>\n

14. Use of Subcontractors<\/strong><\/span><\/p>\n

Wellstep has the right, if necessary, to engage subcontractors to fulfill its obligations under the Agreement. Wellstep is responsible for the work of its subcontractors as if it were its own. <\/span><\/p>\n

15. Term of the Agreement<\/strong><\/span><\/p>\n

These conditions shall apply once the customer’s order has been confirmed by Wellstep until the competition that was ordered has been completed and full payment has been received.<\/span><\/p>\n

16. Intellectual Property Rights<\/strong><\/span><\/p>\n

Wellstep holds all rights, including trademark, copyright and other intellectual property rights to the Service. Clients are not permitted to copy, modify, distribute or disseminate information and content from the Service to the public via the Internet or otherwise. <\/span><\/p>\n

17. Processing of Personal Data<\/strong><\/span><\/p>\n

In connection with the provision of services under this agreement, Wellstep processes certain personal data on behalf of the Customer. In such cases, Wellstep acts as a data processor and the Customer acts as the data controller. Wellstep undertakes to comply with the provisions of applicable data protection laws and to process personal data solely for the purpose of fulfilling its obligations under this agreement and in accordance with our Privacy Policy. <\/span><\/p>\n

The customer is responsible for ensuring that there is a legal basis for the processing, that the data collected is accurate, and that the participants have been informed about the processing.<\/span><\/p>\n

Wellstep\u2019s processing of personal data on behalf of the Customer is governed by the Data Processing Agreement in Appendix 1<\/a>, which forms an integral part of this agreement. If the Customer wishes to enter into a separate data processing agreement instead, Wellstep shall accommodate this request. <\/span><\/p>\n

18. Deletion of Data<\/strong><\/span><\/p>\n

Participant information and results will be deleted no later than twelve (12) months after the competition\u2019s end date, unless otherwise agreed in writing or unless longer retention is required by law.<\/span><\/p>\n

The Customer is responsible for retrieving or documenting the information the Customer wishes to retain in a timely manner. Wellstep may, for a fee, assist with data retrieval, provided that the request is received before the deletion is carried out. <\/span><\/p>\n

19. Assignment of the Agreement<\/strong><\/span><\/p>\n

The customer may not assign its rights or obligations under this Agreement without Wellsteps\u2019 written consent.<\/span><\/p>\n

20. Force Majeure<\/strong><\/span><\/p>\n

If the party, or its subcontractor, fails to perform the Agreement as a result of an event beyond its control (including, but not limited to, strike, fire, flood, extreme weather, natural disaster, war, insurrection, vandalism, sabotage, riot or terrorism) and which could not reasonably have been foreseen at the time of the conclusion of the Agreement, the party is released from its obligation to fulfill the Agreement. Performance under the Agreement shall resume once the ground for exemption ceases. Should performance be suspended under this paragraph for more than six months, either Party may terminate the Agreement with immediate effect. <\/span><\/p>\n

Any party who wishes to claim ground for exemption following the above shall notify the other party in writing immediately.<\/span><\/p>\n

18. Amendments<\/strong><\/span><\/p>\n

Any amendments to the Agreement must be made in writing and approved by both Parties to be effective.<\/span><\/p>\n

19. Applicable law and disputes<\/strong><\/span><\/p>\n

This Agreement is governed by Swedish law.
